1) Electronic Record & Acceptance

This document is an electronic record under the Information Technology Act, 2000 and rules made thereunder, as applicable, and the amended provisions pertaining to electronic records under applicable Indian laws. This electronic record is generated by a computer system and does not require physical or digital signatures.

These Terms & Conditions (“Terms”, “Terms of Service”) govern your access to and use of the website [www.vandann.com] (“Website”) and the purchase of products from Vandann (“we”, “us”, “our”, “Vandann”).

By accessing, browsing, or using our Website or placing an order, you agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you do not agree, please do not use the Website.

2) Definitions

Customer / You / User: Any person who accesses the Website and/or purchases products.
Services: Website access, content, tools, features, and e-commerce services provided by Vandann through Shopify or other service partners.
Products: Any items listed for sale on the Website.
Policies: Privacy Policy, Shipping Policy, Refund/Return Policy, and any other policy linked on the Website.

3) Eligibility & Use by Minors

You must be capable of forming a legally binding contract under the Indian Contract Act, 1872 to use the Website. If you are under 18 years old, you may use the Website only under the supervision of a parent/legal guardian who agrees to these Terms.

4) Account & Registration

To use certain features or place an order, you may need to create an account or provide details such as your name, email, phone number, billing and shipping address, and payment details.

You agree that:

All information you provide is true, accurate, current, and complete.
You will keep your account credentials secure.
You are responsible for all activity under your account.

We may suspend or terminate accounts that provide false information, misuse the Website, or violate these Terms.

5) Products & Information Accuracy

We strive to display product information accurately, including images, colors, descriptions, sizes, materials, and availability. However:

Actual colors may vary due to screen/device settings.
Product photos may be illustrative; minor variations may occur (especially in handcrafted/hand-finished items, dyes, textures, prints).

We reserve the right to change product descriptions, pricing, availability, and discontinue products at any time without notice.

6) Pricing, Taxes & Billing

Prices displayed are in INR unless stated otherwise.
Prices may change without notice, but you will be charged the price shown at checkout when your order is placed.
Taxes (including GST if applicable), shipping, COD fees & Particle COD fees (if any), and other charges will be displayed at checkout.

You agree to provide valid payment information and authorize us (and our payment partners) to charge your selected payment method.

7) Orders, Acceptance & Cancellation

Placing an order constitutes an offer to purchase. An order is accepted only when we confirm it (via email/SMS/WhatsApp and/or shipment confirmation).

We reserve the right to:

Refuse or cancel any order due to suspected fraud, unauthorized transactions, incorrect pricing, stock unavailability, address issues, or other reasonable grounds.
Limit quantities per customer, address, or order.

Cancellation by Customer

If your order has not been processed/shipped, cancellation may be possible as per our Refund/Return Policy.
Once shipped, cancellation may not be possible. You may instead request a return as per policy (if applicable).

8) Cash on Delivery (COD) Verification (If Applicable)

For COD orders, we may verify your order via OTP, phone, SMS, WhatsApp, or email. If verification fails or you are unreachable, we may cancel the order.

Repeated COD refusals may lead to account restrictions.

9) Partial Cash On Delivery (Partial COD)

For certain orders, locations, pin codes, products, order values, or customer profiles, Vandann may offer Partial Cash on Delivery (“Partial COD”) as a payment option.

Under Partial COD:

A non-refundable advance amount (as displayed at checkout) must be paid online at the time of placing the order.
The remaining balance shall be payable in cash at the time of delivery.
Orders placed under Partial COD will be processed and shipped only after successful receipt of the advance payment.

Non-Refundable Advance

The advance amount paid under Partial COD:

Is non-refundable if the order is refused, canceled after shipment, not accepted at delivery, or returned due to customer unavailability or incorrect address.
May be adjusted against the final order value only if the return/refund is approved strictly as per Vandann’s Refund & Return Policy.

Verification & Cancellation

Vandann reserves the right to verify Partial COD orders via OTP, phone call, WhatsApp, or email.
Failure to verify may result in automatic cancellation of the order without any liability on Vandann.
Vandann may cancel Partial COD orders if it detects high RTO risk, repeated COD refusals, suspected misuse, or fraudulent activity.

Eligibility & Discretion

Partial COD availability is determined solely at Vandann’s discretion.
Vandann reserves the right to enable, disable, modify, or withdraw Partial COD for any customer, product, order, or region at any time without prior notice.

Abuse & Misuse

Repeated refusal of Partial COD or misuse of the facility may lead to:

Blocking of COD/Partial COD options for the user
Account restrictions or termination
Blacklisting of address/contact details for future orders

10) Shipping, Delivery & Risk of Loss

Shipping and delivery are governed by our Shipping Policy.

Key points:

Delivery timelines are estimates and not guaranteed.
We are not liable for delays caused by carriers, weather, strikes, customs, or events beyond our control.
Risk of loss passes to you upon delivery to the carrier (or as per applicable law), but we will support you in raising courier claims where applicable.

11) Returns, Exchanges & Refunds

All returns/exchanges/refunds are governed solely by our Refund/Return Policy.

We may require:

Order number / invoice
Photos/unboxing video in damage/incorrect item cases
Items to be unused, unwashed, with original tags/packaging (where applicable)

12) Promotions, Discounts & Coupon Terms

Promotions may be offered from time to time and may be governed by additional terms.

Unless stated otherwise:

Coupons are non-transferable, not redeemable for cash, and cannot be combined.
One coupon may be used once per order.
Coupons may exclude select products/categories and may have minimum order values.
If an order is canceled/returned, the coupon benefit may lapse.
We reserve the right to revoke coupons for suspected misuse, fraud, or violation of these Terms.

Typographical errors in coupon communication do not obligate us to honor an invalid discount.

13) Intellectual Property

All content on the Website—including trademarks, logos, product names, text, graphics, images, videos, UI, and design—is owned by or licensed to Vandann (Proprietorship) and is protected under applicable IP laws.

You may not copy, reproduce, distribute, modify, publish, or exploit Website content without our prior written permission.

14) User Content, Reviews & Feedback

If you submit reviews, comments, photos, or other content (“Feedback/Content”), you grant Vandann, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and display such content for business purposes (including marketing), subject to applicable laws.

You agree not to post unlawful, misleading, abusive, hateful, defamatory, infringing, or obscene content. We may remove content at our discretion.

15) Prohibited Uses

You agree not to:

Use the Website for unlawful purposes
Attempt unauthorized access, hacking, scraping, or interfering with security
Upload malware or harmful code
Misrepresent identity or payment details
Engage in fraud, abusive conduct, or harassment
Violate IP rights, privacy rights, or applicable laws

We may suspend/terminate access for violations.

16) Third-Party Services & Links

The Website may contain links to third-party websites/services (including payment gateways, shipping tools, social platforms). We do not control and are not responsible for third-party content, policies, or services. Your use is at your own risk.

17) Shopify Relationship (Platform Disclaimer)

Vandann site “www.vandann.com” is powered by Shopify, which enables us to provide e-commerce services. However, purchases made on this Website are transactions between you and Vandann. Shopify is not responsible for sales, products, delivery, refunds, or disputes between you and Vandann.

18) Privacy

Your personal data is handled as per our Privacy Policy. By using the Website, you consent to collection, storage, processing, and sharing of data with service providers (payment, logistics, IT) as needed to fulfill your orders and improve Services.

19) Important Disclaimers

The Website and Services are provided on an “as is” and “as available” basis.
We do not guarantee uninterrupted or error-free operation of the Website.
Product suitability depends on individual preferences and usage; please read product details carefully.

To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose, except where such disclaimers are not permitted under applicable law.

20) Limitation of Liability

To the fullest extent permitted by law, Vandann (including directors, employees, partners, service providers) shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, goodwill, or business.

Our total liability for any claim related to a product/order shall not exceed the amount paid by you for the specific order giving rise to the claim, subject to applicable law.

21) Indemnity

You agree to indemnify and hold harmless Vandann, its directors, officers, employees, and service providers from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from:

Your breach of these Terms
Your violation of applicable laws
Your infringement of third-party rights
Misuse of the Website

22) Force Majeure

We are not liable for failure or delay in performance due to events beyond our reasonable control, including natural disasters, pandemics, government actions, strikes, logistics disruptions, internet outages, or payment network failures.

23) Suspension & Termination

We may suspend or terminate your access to the Website (with or without notice) if we believe you have violated these Terms or applicable laws. You remain liable for all amounts due for confirmed orders.

Sections relating to IP, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law survive termination.

24) Changes to Terms

We may update these Terms at any time by posting a revised version on the Website. Your continued use of the Website after changes indicates acceptance.

25) Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Subject to the Arbitration clause (if applicable), courts at Jaipur, Rajasthan shall have exclusive jurisdiction.

26) Arbitration (Optional, but Common in India)

Any dispute arising out of or relating to these Terms, the Website, or your purchase shall be referred to a sole arbitrator appointed by Vandann. Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [Jaipur, Rajasthan], and proceedings shall be in English.

Nothing prevents you from seeking statutory consumer remedies under applicable consumer protection laws.
